AIR PROJECT INVESTMENT CONSIDERATION DOCUMENT
CONSIDERATIONS

Establish new regional air carrier" centered initially on air service to two states providing scheduled air service. In addition to taking advantage of Essential Air Service and Small Community Development Services which provide opportunity to increase air service in additional markets and yet enjoy guaranteed air services. In addition a number of opportunities such as ad-hoc charter and GSA flying present revenue enhancement opportunities

Provide vehicle to achieve means to sell documents for its existing business thru the traditional distribution platform. Potential value "if assumed a 10 percent increase on sales could be an additional sales of 10-15 million" thereby providing a return of approx -450,000 per annum.

Tentative investor "provides airlift from small communities to the gambling markets" number of existing opportunities centered around 30 to 50 seat market.

Air Carrier Start up
Typically an airline will recruit the necessary management and typically will start with a single aircraft type. Air Project is recognizing niche markets that fit into both the 19 and 30 seat market and therefore this thinking is normally 180 degrees from the opportunity.
In order to minimize the investment start up capital and take advantage of being able to operate two aircraft types as needed "Air Project on realization of the necessary funds" plans to approach an existing airline operator with the view to use the part 121 air operator certificate. At this time an airline is identified that clearly meets the wishes of Air Project operating both the 19 and 30 seat aircraft. Since this operator operates only as a Cargo operator it does not currently operate with a two-letter IATA code, nor does it have in place any passenger services operation. It is unknown at this time if the airline has any desire in this direction.
Trevor Sadler/ Mustafa Ozturk proposes to approach this airline upon funding the Air Project Group with the view to arrive at an operating agreement.
The basic elements involved
An agreement to use the air operator certificate followed by filing with the DOT for the air carrier DBA as AIR PROJECT TO BE NAMED).
1. Air Carrier may rent use of certificate and enjoy revenue offset against a proportionate amount of costs or may in lieu of revenue enjoy an equity position and charge only for direct services provided.
2. Establishment of corporation and ownership, management etc.
3. Establish Startup training and FAA certification of passenger operations.
Aircraft
In the current trend towards regional jets the numbers of Turboprop aircraft are widely available. There is no guarantee that the desired aircraft and or the lease rates can be obtained however it may be regarded favorably when considering the number of these aircraft available. Again with the experience of the air carrier who operates both target aircraft assistance in ensuring that the best deals are struck with maintenance support that follows a mature maintenance program. (i.e. longer hours to major checks).
Operations
Operations in schedule service will commence carefully with initial services to 4 cities service being added as additional aircraft are added and demand is made. Charter flight opportunities abound.
Pre-operation requirements center around certifying the air carrier passenger service division (separate corporation). Establishing two-letter code, selection of reservation system and building of flight schedules. Establish marketing at destinations together with marketing programs. The potential investment by SITA Group centers around the process of establishing ARC membership which would be a separate cost/risk associated with the investment in the operation.
At this time Trevor Sadler is also in initial discussions with a new airport that sits ripe to launch services and is a natural gateway to its existing market that is currently served by a major hub approx 40 miles away. This opportunity is entirely complimentary to the initial operations outlined in first paragraph.
Financing Required.
In order to establish operations for this corporation a total investment of ,000 is sought. The investment may be made up from those identified or from other unidentified sources. The ,000 will represent 75% of the outstanding shares. In all cases foreign ownership is limited to 25% of the voting stock or no more than 49% of the non-voting stock. The cash value stated does not include the separate cost for ARC membership
The preceding outlines a basic concept and is by no means the business plan. A business plan exists that will at this junction require updating. Should this be of interest then the parties involved will be requested to sign non-disclosure and non-compete clauses. The plan will be updated.
